If you do not agree with the Terms of Service, do not use URCool. We respect your decision, and you are free to stop using the Service at any time. If you continue to use the Service after we have made changes to the Terms of Service, you are agreeing to the updated terms.

3. Eligibility
OUR PRODUCTS ARE ONLY AVAILABLE TO INDIVIDUALS WHO ARE 16 YEARS OF AGE OR OLDER AND HAVE REACHED THE LEGAL AGE OF MAJORITY IN THEIR STATE OF RESIDENCE. If you are under the age of 16 or have not yet reached the legal age of majority, you must have your parent or guardian review and agree to these Terms on your behalf, and they must supervise your use of the products.
By agreeing to these Terms, you certify that you are of legal age to form a binding contract with us, and that you have read, understood, and agreed to these Terms of Service. If you do not agree to these terms, you may not access or use our site or order, access, or use any of our products.
PLEASE BE AWARE THAT IF YOU VIOLATE THESE TERMS, WE RESERVE THE RIGHT TO TERMINATE YOUR ACCESS TO OUR PRODUCTS AND SERVICES IMMEDIATELY.
4. End User License
Subject to your compliance with these Terms and your payment of the applicable subscription fees, we grant you a limited, revocable, non-transferable, non-sublicensable, non-exclusive, non-commercial license to use the Products and to download and install a copy of the applicable App on a permitted device that you own or control.
You cannot rent, lease, lend, sell, distribute, sublicense, or otherwise transfer or make available the Products, except as expressly permitted by these Terms and the terms applicable to the mobile application store where we make the applicable App available. Additionally, you cannot copy, decompile, reverse engineer, disassemble, attempt to derive the source code of, modify, alter, mimic, adapt, translate, or create derivative works of the Products, any updates, content or any part thereof. This is unless any of the foregoing restrictions are prohibited by applicable law or permitted by the licensing terms governing the use of any open source components included with the Products.
5. Purchases, Subscriptions, Promotional Codes, and Auto Renewals
At URCool, we offer various products and services for purchase through the Service. These may include subscriptions, one-time purchases, promotional codes, and auto-renewals. By making a purchase, you agree to pay the fees associated with the product or service you have selected.
Subscriptions are billed on a recurring basis, and the renewal fee will be charged to your account automatically unless you cancel your subscription. It is important to note that the cancellation process must be initiated prior to the renewal date; otherwise, the payment will be processed, and your subscription will be renewed for the next billing cycle.
Promotional codes may be offered at our discretion and may have specific terms and conditions associated with their use. These codes cannot be transferred, exchanged, or redeemed for cash or other products. If you are unsure about the terms of a promotional code, please contact our customer support team for assistance.
Auto-renewals are set up to ensure that you have uninterrupted access to the Service. By default, auto-renewals are enabled for all subscriptions, but you may cancel them at any time. It is important to note that once the auto-renewal is disabled, your subscription will expire at the end of the current billing cycle, and you may lose access to the Service.
Please note that all purchases made through the Service are non-refundable, except in rare cases where required by law. 6. Prohibited Uses

You agree not to transmit any worms or viruses or any code of a destructive nature.
You agree not to use the Service in a way that infringes upon the intellectual property rights of others.
For the safety and wellbeing of our users, we strictly prohibit any use of the Service to harass, abuse, or harm any other person in any way. This includes, but is not limited to, using the Service to engage in bullying, cyberbullying, discrimination, hate speech, or any other form of harassment or abuse. If we become aware of any such behavior, we reserve the right to take appropriate action, which may include terminating the offending user's access to the Service.

Finally, you agree not to use the Service in a way that infringes upon the intellectual property rights of others. This includes, but is not limited to, using the Service to reproduce, distribute, or display copyrighted materials without the permission of the copyright holder.
We take the protection of intellectual property rights very seriously and will not tolerate any infringement of such rights by our users. If we become aware of any such infringement, we reserve the right to take appropriate action, which may include terminating the offending user's access to the Service and pursuing legal action against them.
7. Our Intellectual Property Rights
As between you and us, we own all right, title, and interest in and to the Service, including all intellectual property rights therein. You acknowledge that the Service and its components are protected by copyright, trademark, patent, trade secret, and other laws, and that we retain all rights in the Service not expressly granted to you under these Terms.
You agree not to reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Service, except as follows:
Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.
You may store files that are automatically cached by your Web browser for display enhancement purposes.
You may print or download one copy of a reasonable number of pages of the Service for your own personal, non-commercial use and not for further reproduction, publication, or distribution.
If we provide desktop, mobile, or other applications for download, you may download a single copy to your computer or mobile device solely for your own personal, non-commercial use, and not for further reproduction, publication, or distribution. If we provide social media features with certain content, you may take such actions as are enabled by such features.
You must not:
Modify copies of any materials from this site.
Use any illustrations, photographs, video or audio sequences, or any graphics separately from the accompanying text.
Delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from this site.
Access or use for any commercial purposes any part of the Service or any services or materials available through the Service.

8. User-Generated Content
You agree not to post or transmit any User-Generated Content that is illegal, obscene, defamatory, libelous, threatening, pornographic, harassing, hateful, racially or ethnically offensive, or encourages conduct that would be considered a criminal offense, give rise to civil liability, violate any law, or is otherwise inappropriate.
You acknowledge that we do not control User-Generated Content posted on the Service and cannot be held responsible for such content. We reserve the right to remove any User-Generated Content that we deem inappropriate or in violation of these Terms, without notice or liability to you.
By posting or submitting User-Generated Content, you grant us a perpetual, irrevocable, non-exclusive, worldwide, royalty-free, fully paid-up, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such content in whole or in part and to incorporate it into other works in any form, media, or technology now known or later developed, without compensation to you.

11. Generative AI Features
The Products may allow you to use certain features that implement one or more generative artificial intelligence models or tools (the "Generative AI Features").Without limiting Section 6 (Prohibited Uses), when using Generative AI Features, you will not, or permit any person accessing the Products using your account to Upload, generate, or distribute content that:
Allows for the exploitation or abuse of children, including any child sexual abuse materials and any depiction of children that could lead to their sexual exploitation.
Contains or promotes sexually explicit content or profanity, including pornography, or any content or services intended to be sexually gratifying.
Dangerous, illegal, or malicious activities, including promoting illegal activities or violations of the law, abusing, harming, interfering, or disrupting services (such as spam, phishing, or malware), attempting to override or circumvent safety filters or intentionally driving the Generative AI Features to act in a manner that contravenes these Terms or other applicable policies, and generating or distributing content that may harm or discriminate against individuals or a group, or promote any of the foregoing, and generating or distributing content intended to misinform, misrepresent, mislead, exploit, or harm others.
Encourages the illegal or inappropriate use of alcohol, tobacco, drugs, or the use of explosives, firearms, ammunition or certain firearms accessories.
Promotes violence or incite hatred against individuals or groups based on race or ethnic origin, religion, disability, age, nationality, veteran status, sexual orientation, gender, gender identity, caste, immigration status or any other characteristic that is associated with systemic discrimination or marginalization.
Depicts gratuitous violence or other dangerous activities.
12. Disclaimer of Warranties
URCool provides the Service on an "as is" and "as available" basis. We do not warrant that the Service will be uninterrupted or error-free. We do not make any representations or warranties of any kind, express or implied, regarding the operation or availability of the Service or the information, content, materials, products, or services included on or through the Service.
To the fullest extent permissible by applicable law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your requirements or that the operation of the Service will be uninterrupted or error-free. We do not warrant that defects in the Service will be corrected. We do not warrant or make any representations regarding the use or the results of the use of the Service or any materials or content in terms of their correctness, accuracy, reliability, or otherwise.
You understand and agree that any content or material downloaded or otherwise obtained through the use of the Service is done at your own discretion and risk, and that you will be solely responsible for any damage to your computer system or loss of data that results from the download of such content or material.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations and disclaimers may not apply to you. To the extent that we may not, as a matter of applicable law, disclaim any warranty or limit our liability as set forth in these Terms of Service, the scope and duration of such warranty and the extent of our liability will be the minimum permitted under such law.
13. Indemnification
You agree to defend, indemnify, and hold harmless URCool, its affiliates, officers, agents, employees, partners, licensors, contractors, permitted successors and permitted assigns (each of the foregoing, a “Splice Indemnitee”) from all losses, damages, liabilities, deficiencies, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses of whatever kind, including, but not limited to, professional fees and reasonable attorneys’ fees incurred by any Splice Indemnitee(s), arising out of or resulting from: (a) your User-Generated Content; (b) any breach of these Terms by you or any person accessing the Products using your account; (c) your access or use of the Products; (d) your violation of any applicable law or regulation; (e) your violation of the rights of any third party, including, but not limited to, privacy, intellectual property or proprietary rights with respect to your use of the Products, performance of your obligations under these Terms, or exercise of rights granted to you under these Terms; and (f) any and all claims for property damage, personal injury or bodily injury or death, to the extent caused by your breach of these Terms. You also agree that URCool will have the right to control the defense, negotiation, and settlement of any claim subject to indemnification by you and that you will fully cooperate with URCool in the defense, negotiation, or settlement of any such claim, and that URCool will have the right to select counsel handling such defense, negotiation or settlement in URCool's sole discretion.
14. Limitation of Liability
URCOOL WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION ARISING OUT OF OR IN CONNECTION WITH THE USE OF THE SERVICE EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE DATE OF YOUR CLAIM OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
THESE LIMITATIONS OF LIABILITY APPLY TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AND YOU ACKNOWLEDGE AND AGREE THAT THEY ARE FAIR AND REASONABLE IN LIGHT OF THE RISKS ASSOCIATED WITH PROVIDING ACCESS TO THE SERVICE. IF YOU ARE DISSATISFIED WITH ANY ASPECT OF THE SERVICE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USE OF THE SERVICE.
15. Suspension
We may suspend or terminate your access to any portion or all of the Products for any reason, including if: (a) we determine that there is a threat or attack on any of our services, systems, or data stored thereon; (b) your use of the Products disrupts or poses a security risk to us, our customers, or vendors; (c) you use the Products for fraudulent or illegal activities, or your account is being used for such purposes; (d) providing the Products to you violates applicable law or regulation; or (e) one or more of our vendors restricts, suspends, or terminates our access to Third-Party Services or Materials required for provision of or access to the Products.
We will make reasonable efforts to provide notice of any Product suspension and to provide updates on resumption of access to the Products. We will not be liable for any damage, liabilities, losses (including loss of data or profits), or other consequences resulting from a Product suspension.
16. Termination
These Terms will remain in effect until terminated by either you or us. You may terminate these Terms at any time by discontinuing your use of the Service and uninstalling any mobile applications associated with the Service.
We may terminate these Terms at any time and for any reason, including if we believe that you have violated these Terms in any way. Upon termination, you must immediately cease all use of the Service and any mobile applications associated with the Service.
In addition, upon termination, all licenses granted to you under these Terms will immediately terminate, and you must immediately cease all use of the Service and any mobile applications associated with the Service. The provisions of these Terms that by their nature should survive termination will survive any such termination, including but not limited to the provisions regarding ownership, limitations of liability, indemnification, and dispute resolution.
17. Account
You are responsible for maintaining the confidentiality of your account login information. This includes creating a strong and unique password, and not sharing your password with third parties. You are also responsible for all activities that occur under your account, whether or not authorized by you. Therefore, you should take reasonable steps to safeguard your account, such as logging out after each session, and not leaving your account logged in on shared or public devices.
You agree to notify us immediately of any unauthorized access to or use of your account or any other breach of security. This includes informing us of any suspicious activity, such as unauthorized purchases or changes to your account information. We cannot be held liable for any loss or damage arising from your failure to comply with this requirement, so it is crucial that you notify us as soon as possible.
We reserve the right to suspend or terminate your account at any time and for any reason, including if we believe that you have violated these Terms or applicable law. In such cases, we will notify you of the suspension or termination and provide an explanation, unless we are prohibited by law from doing so. Upon termination of your account, all licenses granted to you under these Terms will immediately terminate, and you must immediately cease all use of the Service and any mobile applications associated with the Service.
In addition, we may also take other measures to protect the security and integrity of the Service, such as blocking certain IP addresses or suspending accounts that display suspicious activity. We understand that these measures may inconvenience some users, but we believe that they are necessary to ensure the safety and security of all users of the Service.

18. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the jurisdiction in which the Service is provided, without giving effect to any principles of conflicts of law. You agree that any action at law or in equity arising out of or relating to these Terms shall be filed only in the state or federal courts located in the jurisdiction in which the Service is provided, and you hereby consent and submit to the personal jurisdiction of such courts for the purposes of litigating any such action.
19. Dispute Resolution
Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration in accordance with the rules of the American Arbitration Association ("AAA"). The arbitration shall be conducted in the English language and held in the United States. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. To the fullest extent permitted by applicable law, no arbitration under these Terms shall be joined to an arbitration involving any other party subject to these Terms, whether through class arbitration proceedings or otherwise.
20. General
These Terms of Service constitute the entire agreement between you and URCool and govern your use of the Service, superseding any prior agreements between you and URCool. You also may be subject to additional terms and conditions that may apply when you use or purchase certain other URCool services, affiliate services, third-party content, or third-party software.
These Terms of Service and your use of the Service shall be governed by the laws of the State of California, without respect to its conflict of laws principles. You hereby consent to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California, in all disputes arising out of or relating to these Terms or the use of the Service.
If any provision of these Terms of Service is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced. Headings are for reference purposes only and in no way define, limit, construe, or describe the scope or extent of such section.
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of URCool. Except as expressly set forth in these Terms, the exercise by either party of any of its remedies under these Terms will be without prejudice to its other remedies under these Terms or otherwise.
21. Additional Terms for App Marketplaces
When you access, purchase or download the App from the Apple App Store, you acknowledge and agree that:
These Terms are between you and Splice, not with Apple Inc. or its subsidiaries. Splice is solely responsible for the App and its content.
You may only use the App on an Apple product that you own or control, following the Usage Rules set forth in the terms and guidelines governing your use of the Apple App Store. The App may also be accessed and used by other accounts associated with your account, purchased via Family Sharing or volume purchasing.
You may not use the Generative AI Features to generate or distribute content that depicts or promotes dangerous, illegal, or malicious activities. This includes promoting illegal activities or violations of the law, attempting to override or circumvent safety filters, and generating or distributing content that may harm or discriminate against individuals or groups.
You may not use the Generative AI Features to generate or distribute sexually explicit content or content that promotes sexually explicit content or services intended to be sexually gratifying.
You may not generate or distribute content that encourages the illegal or inappropriate use of alcohol, tobacco, drugs, or the use of explosives, firearms, ammunition, or certain firearms accessories.
You may not use the Generative AI Features to generate or distribute content that depicts gratuitous violence or other dangerous activities.
You may not generate or distribute content that promotes violence or incites hatred against individuals or groups based on race or ethnic origin, religion, disability, age, nationality, veteran status, sexual orientation, gender, gender identity, caste, immigration status, or any other characteristic that is associated with systemic discrimination or marginalization.
You may not generate or distribute content intended to misinform, misrepresent, mislead, exploit, or harm others.
If the Terms conflict with the Google Play Developer Distribution Agreement, the Google Play Terms of Service, or the terms and guidelines for using Google Play, the Google Play Terms will take priority for the App you access, buy, or download from Google Play.
Google LLC is not liable for any consequences resulting from your use of their services. You are solely responsible for your actions and any resulting claims, damages, or losses. These Terms do not limit liability for personal injury or property damage caused by Google's negligence. While Google strives to provide excellent service, please use their services responsibly to avoid any potential risks or negative outcomes.
